Service Policy

• You must be at least 18 years old to use the Service.

• By using the Service, you represent and warrant that you are not located in, or a resident of, any jurisdiction where use of Passey is restricted, and you are not subject to any applicable sanctions.

Passey provides users with the ability to:

• Execute spot trades in BTC and ETH on the Base network (routed via third-party protocols such as Kyber).

• Execute options trades via Thetanuts RFQ infrastructure.

• Receive AI-generated trade ideas, which are strictly informational only and shall not be construed as investment advice or financial advice.

• Deploy idle USDC balances into Aave to earn variable yield. Returns are not guaranteed and may fluctuate based on Aave’s rates and conditions.

• Ability to send or receive digital assets with wallets created on Passey

Passey is not a broker, exchange, custodian, or investment adviser.

Wallets are created and managed through Privy.io, our custody provider. Passey does not directly hold or custody your assets.

By using the Service, you acknowledge and accept the following risks:

• Digital asset volatility: BTC, ETH, and USDC may lose value.

• Smart contract risks: bugs or exploits in Base, Aave, Thetanuts, or other integrated protocols may result in partial or total loss of funds.

• Network risks: congestion, downtime, or technical failures may impact your ability to transact.

• Third-party risks: failures of Privy, Kyber, Aave, Thetanuts, or Telegram may disrupt service.

• Regulatory risk: changes in law or enforcement actions may affect the Service.

You agree that you assume all risks when using Passey.

Passey relies on decentralized infrastructure and third-party services. There may be interruptions due to:

• Network congestion,

• Protocol outages (e.g., Aave, Thetanuts, Kyber),

• Telegram downtime, or

• Other unforeseen circumstances.

Passey does not guarantee uninterrupted access or execution.

You are responsible for:

• Maintaining the security of your Telegram account and linked wallet.

• Ensuring compliance with applicable laws.

• Using the Service only for lawful purposes.

Passey does not guarantee:

• Profits or yields from Aave or trading activity,

• Accuracy or reliability of AI-generated trade ideas,

• Continuous uptime or availability of the Service.

We may suspend or terminate your access to the Service at any time, without prior notice, if you:

• Breach these Terms,

• Misuse or attempt to hack the Service,

• Engage in illegal or fraudulent activity, or

• Are required to be blocked by law or regulation.

To the maximum extent permitted by law, Passey and its affiliates shall not be liable for any:

• Indirect, incidental, special, or consequential damages,

• Loss of profits, data, or digital assets,

• Losses arising from smart contract failures, third-party outages, or network issues.

Liability, if any, shall be limited to the amount of fees paid to Passey in the 12 months preceding the claim.

You hereby undertake and agree to indemnify Passey, its affiliates, officers, employees, and agents, and hold us harmless upon demand from and against any claims, suits, actions, demands, disputes, allegations, or investigations brought by any and all persons or entities, including third-parties, governmental authorities, and industry bodies, as well as all claims, liabilities, damages (actual and consequential), losses (including direct, indirect, or consequential), costs, and expenses, including all interest, penalties, and legal or other reasonable attorneys' fees and professional costs ("Losses"), arising out of or in any way connected with:

a. your access to or use of the Passey Service;

b. your breach or alleged breach of these Terms;

c. your contravention of any Applicable Law; and

d. your violation of the rights (intellectual property or otherwise) of any third party.

You irrevocably and unconditionally agree to release Passey from any and all claims and demands (and waive any rights you may have now or in the future), arising directly or indirectly out of or in connection with any dispute you have with another user or third party, connected in any way with the Passey Service or these Terms.

These Terms are governed by the laws of Singapore. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.

Passey may modify these Terms from time to time. Updates will be posted with a revised “Last Updated” date. Continued use of the Service after changes take effect constitutes acceptance.

Passey Services are operated by Marmot Heights Ltd, a BVI entity that has its registered office at ABM Corporate Services, Ltd 1st Floor, Columbus Centre, PO Box 2283, Road Town Tortola VG 1110, British Virgin Islands.
